Rail Vision Completes Acquisition of Majority Stake in Quantum Transportation

Rail Vision Ltd. said it has completed its previously announced strategic transaction to acquire a 51% ownership interest in Quantum Transportation Ltd., giving Rail Vision majority ownership and control of the company.

Quantum Transportation holds an exclusive sub-license for rail-related technologies and platforms tied to a pending patent application in quantum error correction owned by Ramot, the technology transfer arm of Tel Aviv University. The intellectual property and related know-how are designed to address key challenges in noisy intermediate-scale quantum devices by enabling efficient, real-time decoding of surface code errors.

The approach is intended to significantly reduce computational overhead compared with traditional methods and support scalable, fault-tolerant quantum computing.

Rail Vision said the transaction is intended to combine quantum- and AI-based intellectual property protection and innovation with its existing vision and railway safety technologies. The company expects the combination to create technological synergies, enhance current and future product lines, accelerate innovation and support long-term value creation for stakeholders.

Under the acquisition agreement announced Dec. 1, 2025, Rail Vision completed a share exchange that resulted in it acquiring 51% of Quantum Transportation’s issued and outstanding share capital. In connection with the closing, Rail Vision issued 2,982,710 ordinary shares to certain former shareholders of Quantum Transportation. The shares represent approximately 4.99% of Rail Vision’s issued and outstanding share capital as of the signing date of the agreement and prior to the issuance.

Following the closing, Quantum Transportation became a majority-owned subsidiary of Rail Vision. Rail Vision also extended a convertible loan facility of up to $700,000 to Quantum Transportation, bearing an annual interest rate of 8%. The loan will be disbursed in tranches and is intended to support the company’s operations and development roadmap, subject to the terms of the acquisition agreement.
