GREENWICH, Conn. – Shareholders of Genesee & Wyoming, Inc. (GWI) on May 12, 2004, elected three directors at its annual meeting of shareholders.
Elected to three-year terms are:
- Louis S. Fuller, member of Courtright and Associates, an executive search firm, from 1992 to 1999, and now retired. Mr. Fuller is the first cousin of Chairman and Chief Executive Officer Mortimer B. Fuller III and has been a director since 1974.
- Philip J. Ringo, Chairman and Chief Executive Officer of RubberNetwork.com, LLC since June 2001. He previously was President and Chief Operating Officer of ChemConnect, Inc. from March 1999 to January 2001. Mr. Ringo has been a director since 1978.
- Mark A. Scudder, President of Scudder Law Firm, P.C., L.L.O. since December 2002, representing public and private companies in mergers and acquisitions, financing transactions and general corporate matters, with a particular focus on the U.S. trucking industry. Mr. Scudder has been a director since July 25, 2003, when he was elected by the Board of Directors to fill a vacancy on the Board.
In other business, shareholders ratified the appointment of PriceWaterhouseCoopers LLP as independent auditors, and approved the adoption of a 2004 Omnibus Incentive Plan which enables the company to offer a variety of incentive awards. The Omnibus Incentive Plan replaces the company’s 1996 Option Plan, the Directors’ Plan and the Deferred Stock Plan.
GWI is a leading operator of short line and regional freight railroads in the United States, Canada, Mexico, Australia and Bolivia. The company operates over 8,100 miles of owned and leased track and more than 3,000 additional miles under track access arrangements.
